Affiliate Terms & Conditions

1. Program Overview

The ClinicOS Affiliate Program ("Program") allows approved participants ("Affiliates") to earn commissions by referring new paying customers to ClinicOS, a product of Automated Clinical System ("Company"). By registering as an Affiliate, you agree to be bound by these Terms & Conditions.

2. Eligibility

• You must be at least 18 years of age.
• You must provide accurate and truthful information during registration.
• The Company reserves the right to approve or reject any affiliate application.
• Government employees and persons prohibited by Philippine law from engaging in business activities are not eligible.

3. Commission Structure

• Affiliates earn a commission rate of 20% of monthly subscription payments from referred clinics.
• Commissions are earned only when a referred clinic completes a successful payment for a paid subscription plan.
• Commissions are not earned for free plan signups, trial registrations without subsequent payment, referrals of other affiliates, or self-referrals.
• Commissions enter a 14-day holding period after the qualifying payment, during which the commission status is "pending."
• After the holding period and manual review, commissions are moved to "approved" status.
• Commissions may be reversed if a payment is refunded, charged back, or disputed.
• The Company reserves the right to adjust commission rates with 30 days' notice.

4. Payment Terms

• Payouts are processed monthly, subject to a minimum payout threshold of ₱500.
• Payments are made via bank transfer or GCash, as specified by the Affiliate.
• The Company will withhold applicable taxes as required by Philippine law (BIR).
• Affiliates who provide a valid TIN may be subject to withholding tax on commissions.
• Affiliates are responsible for reporting and paying their own income taxes.

5. Prohibited Activities

• Misleading or deceptive advertising, including false income claims or guaranteed earnings promises.
• Spam, unsolicited bulk messaging, or any form of messaging that violates Philippine anti-spam regulations.
• Bidding on ClinicOS brand terms in paid search advertising without prior written approval.
• Representing yourself as an employee, agent, or official representative of ClinicOS.
• Creating fake accounts, self-referrals, or fraudulent transactions to generate commissions.
• Recruiting affiliates under a multi-level or pyramid structure. This is a single-tier affiliate program only.
• Any activity that violates Philippine law, including but not limited to RA 10173 (Data Privacy Act), RA 8792 (E-Commerce Act), and RA 7394 (Consumer Act).

6. No Multi-Level / No Pyramid

This Program is a single-tier affiliate program. Affiliates earn commissions only from direct referrals of paying customers. There are no downline commissions, multi-level structures, recruitment bonuses, or override payments. The Program does not constitute an investment, franchise, or employment relationship. Affiliates do not earn from referring other affiliates.

7. Income Disclaimer

Earnings are not guaranteed. Individual results vary depending on effort, market conditions, the quality of referrals, and other factors. Any income examples, projections, or calculators provided on this site are for illustrative purposes only and do not represent a guarantee of future earnings. This Program is not an investment or employment opportunity. Past performance does not guarantee future results.

8. Intellectual Property

• Affiliates may use Company-provided marketing materials and logos solely for the purpose of promoting ClinicOS.
• Affiliates may not modify Company trademarks, logos, or marketing materials without prior written consent.
• All intellectual property rights in ClinicOS and related materials remain with the Company.

9. Termination

• Either party may terminate this agreement at any time with written notice.
• The Company may immediately suspend or terminate an Affiliate's account for violation of these Terms.
• Upon termination, pending commissions that have been approved will still be paid. Unapproved commissions may be forfeited.
• Termination does not release the Affiliate from obligations regarding confidentiality and prohibited activities.

10. Data Privacy

The Company collects and processes Affiliate data in accordance with RA 10173 (Data Privacy Act of 2012) and its Implementing Rules and Regulations. Affiliate data is used solely for program administration, commission tracking, tax compliance, and communication. For details, see our Privacy Notice.

11. Limitation of Liability

The Company's total liability under this agreement shall not exceed the total commissions paid to the Affiliate in the preceding 12 months. The Company is not liable for indirect, incidental, or consequential damages arising from participation in the Program.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from this agreement shall be settled through arbitration in Taguig City, Metro Manila, Philippines.

13. Amendments

The Company reserves the right to modify these Terms at any time. Affiliates will be notified of material changes via email. Continued participation in the Program after notification constitutes acceptance of the modified Terms.
